Terms of Service

01 General Provisions

These Terms of Service ("Terms") constitute a legally binding agreement between our factory-trade integrated company,company, Foshan Yasiqi Import & Export Co., Ltd., located at Office No.505-506, 5th Building, GreenIsland International Center, No.133, Jihua Xi Road, Foshan, Guangdong, China, and the purchasing entity ("Client" or "Buyer").

By submitting a Purchase Order (PO), paying a deposit, or approving a product sample, the Client acknowledges and agrees to be bound by these Terms. These Terms supersede any prior agreements, unless explicitly modified by a written Sales Contract signed by authorized representatives of both parties.

02 B2B Manufacturing & Export Only

"We are a factory-trade integrated building materials company specializing in manufacturing and global export. We do not engage in domestic retail sales."

Commercial Purpose: Products are sold exclusively for commercial use, resale, distribution, or construction projects. The Client represents that they are a registered business entity engaged in building materials trade or construction.
Minimum Order Quantity (MOQ): All orders are subject to MOQ requirements, which vary by product line (Porcelain Tiles vs. Flexible Stone) and specifications. Orders below MOQ may be rejected or subject to surcharges.
Export Focus: Our business model is designed for international export. We provide neutral packing, private label options, and customized export documentation to support global distribution.
Samples: Sample requests are welcomed for quality verification and market testing. Sample material costs may apply, with shipping costs the responsibility of the Client unless otherwise agreed.

03 Orders & Customization (OEM/ODM)

As a specialist in porcelain tiles and flexible stone manufacturing, strict protocols govern our design and production process:

3.1 Product Categories

Porcelain Tiles

Interior/exterior floor & wall tiles, marble-look, wood-look, cement-look designs. Multiple sizes and surface finishes available.

Flexible Stone

Lightweight soft porcelain panels for facades, curved surfaces, and renovation projects. Custom textures and colors available.

3.2 Sample Approval Process

Before mass production, a pre-production sample must be confirmed by the Client. Approval via email or signed sample card constitutes acceptance of the sample's design, color, texture, and dimensions as the quality benchmark for the final batch.

3.3 Custom Production (ODM)

For ODM projects requiring custom designs, colors, or specifications:

Custom mold or tooling fees must be paid 100% in advance
Minimum order quantities for custom products are higher than standard lines
Lead times for custom production are typically 25-35 days after sample approval
Custom designs remain confidential and will not be sold to third parties

3.4 Private Label & Packaging

We support private label manufacturing with custom packaging, carton design, and pallet loading solutions to meet different market requirements and branding needs.

04 Payment Terms

Standard Terms

30% Deposit via T/T (Telegraphic Transfer) is required to initiate production. The remaining 70% Balance is due prior to shipment or against Copy of Bill of Lading (B/L).

Currency & Pricing

Prices quoted in USD or RMB. Exchange rate fluctuations exceeding 3% may result in price adjustments. FOB Foshan/Guangzhou port terms unless otherwise specified.

4.1 Export Documentation

We provide complete export documentation including Commercial Invoice, Packing List, Bill of Lading, Certificate of Origin, and quality certificates as required by destination country.

05 Production Standards & Quality Control

Our factory maintains strict quality control standards for both porcelain tiles and flexible stone products. Clients must acknowledge the following manufacturing standards:

Porcelain Tiles Dimensional tolerance: ±0.5mm for calibrated sizes. Water absorption: <0.5%. Breaking strength and thermal shock resistance meet international standards.
Flexible Stone Thickness tolerance: ±1mm. Flexibility: Bendable to a minimum radius of 90° under standard installation conditions.
Color Consistency Batch-to-batch color variations within acceptable industry standards. We recommend ordering 5-10% extra material for large projects to ensure consistency.
Surface Finish Available in polished, matte, satin, and anti-slip finishes. Natural texture variations are designed to mimic authentic materials.

06 Export & Logistics

6.1 Incoterms & Shipping

Unless otherwise specified, quotes are based on FOB (Free on Board) Foshan/Guangzhou ports. We can arrange CIF terms upon request with marine insurance included.

6.2 Lead Times

Standard production lead times:

Porcelain Tiles (standard designs): 20-30 days after deposit and sample approval
Flexible Stone (standard textures): 20-30 days after deposit and sample approval
Custom/ODM products: 25-35 days after sample approval and tooling completion

6.3 Container Loading

We provide professional container loading services with wooden pallets, protective packaging, and loading supervision. Container capacity varies by product thickness and packaging method.

6.4 Force Majeure

We are not liable for delays caused by Force Majeure events including but not limited to: port congestion, customs inspections, shipping line delays, natural disasters, or government regulations affecting export operations.

07 Warranty & Quality Claims

We warrant that our products meet the technical specifications outlined in the Sales Contract and approved samples.

Inspection Period: The Client must inspect goods within 7 days of arrival at destination port. Claims must be filed within 15 days of delivery with supporting documentation.
Valid Claims: Quality defect claims must be supported by photos, videos, and third-party inspection reports. Claims must demonstrate defects exceed acceptable industry tolerances.
Manufacturing Warranty: We warrant against manufacturing defects for 12 months from shipment date. Warranty covers material composition, dimensional accuracy, and structural integrity.
Remedy Limitations: For proven manufacturing defects, our liability is limited to replacing defective goods or refunding the value of the defective portion. We are not liable for installation costs, labor, freight, or consequential damages.
Exclusions: Warranty does not cover damage resulting from improper storage, improper installation, use of wrong adhesives, modification of products, or normal wear and tear in commercial applications.

Project Supply & Volume Discounts

For large-scale projects or established distribution partnerships, we offer volume pricing, extended payment terms, and dedicated production scheduling. Contact our export team to discuss project-specific requirements.

Intellectual Property Protection

We respect client intellectual property and maintain strict confidentiality for custom designs. Conversely, clients may not reverse-engineer our proprietary material formulations or manufacturing processes for competitive purposes.

Governing Law & Dispute Resolution

These Terms shall be governed by the laws of the People's Republic of China. Any disputes arising from these terms shall be settled through friendly negotiation within 30 days.

If negotiation fails, disputes shall be submitted to arbitration at the China International Economic and Trade Arbitration Commission (CIETAC) in Guangzhou, or to the competent court in Foshan, Guangdong, at the election of the injured party.
